The Delaware Economic Development Office ("DEDO") website (the "Site") is owned and operated by the State of Delaware (the "State"). By using this Site, you agree to be bound by these Terms and Conditions and to use the Site in accordance with these Terms and Conditions and any additional terms and conditions that may apply. Accessing the Site, in any manner, whether automated or otherwise, constitutes use of the Site and your agreement to be bound by these Terms and Conditions. DEDO reserves the right to change these Terms and Conditions or to impose new conditions on use of the Site, from time to time, in which case DEDO will post the revised Terms and Conditions on this website. By continuing to use the Site after DEDO posts any such changes, you accept the Terms and Conditions, as modified.

By posting or submitting any material (including, without limitation, photos and videos) to the DEDO via this Site, you are representing: (i) that you are the owner of the material, or are making your posting or submission with the express consent of the owner of the material; and (ii) that you are eighteen years of age or older. In addition, when you submit or post any material, you are granting the State, and anyone authorized by the State, a royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, worldwide license to use, copy, modify, transmit, sell, exploit, create derivative works from, distribute, and/or publicly perform or display such material, in whole or in part, in any manner or medium, now known or hereafter developed, for any purpose. The foregoing grant shall include the right to exploit any proprietary rights in such posting or submission, including, but not limited to, rights under copyright, trademark, service mark or patent laws under any relevant jurisdiction. Also, in connection with the exercise of such rights, you grant the State, and anyone authorized by the State, the right to identify you as the author of any of your postings or submissions by name, email address or screen name, as the State deems appropriate.

This Site and all the materials available on the Site are the property of the State and/or the State's licensors, and are protected by copyright, trademark, and other intellectual property laws. You may not use the Site or the materials available on the Site in a manner that constitutes an infringement of the State's rights or that has not been authorized by the State. More specifically, unless explicitly authorized in these Terms and Conditions or by the owner of the materials, you may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit, or distribute in any manner or medium (including by email or other electronic means) any material from the Site.

This agreement constitutes the entire agreement between the State and you with respect to the subject matter contained in this agreement and supersedes all previous and contemporaneous agreements, proposals and communications, written or oral. This agreement shall be governed by and construed in accordance with the laws of the State without giving effect to any principles of conflicts of law. If any provision of this agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

SUBMISSION AGREEMENT

I agree to the Terms and Conditions and to give The State of Delaware publication rights to the photographs and other work (hereafter, the "Work") uploaded here, as well as exclusive rights to reproduce, edit, adapt, modify, perform, transmit and otherwise use the Work, including any derivative works created therefrom, in any manner or medium throughout the world in perpetuity without compensation. This includes, but is not limited to, the right to reproduce and distribute the Work in electronic or optical media, or in CD-ROM, on-line or similar format. I warrant that the Work submitted under this agreement is my original work, of which I have sole ownership and that its publication will not violate any copyright or other right of any third party. I agree to indemnify and hold harmless The State of Delaware, its officers, agents and employees from any loss, claim, damages or expenses arising from my breach of this agreement, including any representations contained herein. I agree that the State of Delaware, its officers, agents and employees shall not be liable for any of my acts or omissions in connection with the Work I submit under this agreement.
